Terms of Service

Agreement
These Terms of Service govern your access to and use of Ensemble, a Markdown-native workspace for documents, collaboration, sync, and AI-assisted knowledge work provided by GBU Labs. By creating an account, accessing Ensemble, downloading the desktop app, or using any related website, app, API, or service, you agree to these Terms.
If you use Ensemble on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity to these Terms. If you do not agree to these Terms, do not use Ensemble.
The Service
Ensemble lets users create, edit, sync, share, and collaborate on Markdown documents and related workspace content. The service may include the Ensemble website, web app, desktop app, sync engine, cloud APIs, Model Context Protocol tools, comments, attachments, and integrations with third-party applications or AI clients.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use Ensemble for your internal personal or business purposes. We may change, suspend, or discontinue parts of Ensemble from time to time.
Accounts and Workspaces
You are responsible for keeping your account credentials secure and for activity that occurs under your account. You must provide accurate account information and promptly update it when needed.
Workspace owners and administrators are responsible for managing workspace users, permissions, shared folders, document access, and connected integrations. Users in a shared workspace may be able to view, edit, comment on, export, or sync content according to the permissions configured for that workspace.
Your Content
You retain ownership of documents, comments, files, metadata, and other content that you submit to Ensemble. You grant GBU Labs a license to host, store, copy, process, transmit, display, and otherwise use your content as needed to provide, secure, support, and improve Ensemble.
You are responsible for your content and for ensuring that you have the rights needed to upload, sync, share, and process it through Ensemble. Do not upload content that violates law, infringes the rights of others, contains malware, or breaches confidentiality obligations you owe to third parties.
Integrations and AI Clients
Ensemble may connect to third-party services, identity providers, AI clients, local tools, or external storage locations that you choose to use. Your use of those third-party services is governed by their own terms and policies, not these Terms.
When you authorize an integration, you are responsible for the access you grant and for reviewing the actions that integration can perform. Outputs generated by AI systems may be incomplete, inaccurate, or unsuitable for your use case. You are responsible for reviewing AI-assisted edits, suggestions, and actions before relying on them.
Acceptable Use
You agree not to use Ensemble to:
- Violate applicable laws or the rights of others.
- Access, tamper with, or use non-public parts of Ensemble.
- Probe, scan, disrupt, overload, or interfere with Ensemble or its infrastructure.
- Upload, distribute, or sync malware, harmful code, or unlawful content.
- Reverse engineer Ensemble except where such restriction is prohibited by law.
- Misrepresent your identity, bypass usage limits, or abuse authentication and authorization systems.
- Use Ensemble to build or support a competing service in a manner that violates these Terms or applicable law.
We may suspend or restrict access if we reasonably believe your use threatens the security, integrity, availability, or lawful operation of Ensemble.
Fees and Subscriptions
Some parts of Ensemble may be free, paid, usage-based, or offered as a trial or beta. If you purchase a paid plan, you agree to pay the fees, taxes, and other charges shown at checkout or in the applicable order. Subscription fees may renew automatically unless cancelled according to the cancellation process we provide.
Unless required by law or stated otherwise in writing, fees are non-refundable and payment obligations are non-cancelable for the applicable subscription period.
Intellectual Property
GBU Labs and its licensors own Ensemble, including the software, design, branding, documentation, templates, APIs, and related technology. Except for the limited right to use Ensemble under these Terms, no rights are transferred to you.
If you provide feedback, suggestions, or ideas, you grant us the right to use them without restriction or compensation.
Privacy and Data
Our Privacy Policy explains how we collect, use, store, and share personal information. By using Ensemble, you also agree to the practices described in the Privacy Policy.
Beta Features
We may make preview, beta, experimental, or early-access features available. These features may change, break, disappear, or produce unexpected results. They are provided for evaluation and may not be covered by the same support or reliability commitments as generally available features.
Termination
You may stop using Ensemble at any time. We may suspend or terminate your access if you materially breach these Terms, create risk or legal exposure for us or others, fail to pay applicable fees, or use Ensemble in a way that threatens the service.
Upon termination, your right to use Ensemble ends. We may retain or delete account and workspace data according to our Privacy Policy, legal obligations, backup practices, and any separate written agreement that applies.
Disclaimers
Ensemble is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, GBU Labs disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted or error-free operation.
Limitation of Liability
To the maximum extent permitted by law, GBU Labs will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business opportunities, lost goodwill, or loss or corruption of data.
To the maximum extent permitted by law, GBU Labs' aggregate liability for all claims relating to Ensemble or these Terms will not exceed the greater of the amount you paid to GBU Labs for Ensemble in the 12 months before the claim or US$100.
Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the effective date and provide additional notice when appropriate. Your continued use of Ensemble after the updated Terms become effective means you accept the updated Terms.
